Terms of Service

1. Service Description
Glideramp ("we," "us," "our") provides a mail merge and email automation service that allows users to send personalized mass emails using data from various sources including but not limited to CSV files, Google Sheets, Airtable, and SQL databases.
By accessing or using our service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use our service.
Important Note: Glideramp does not provide email warming services for any email service providers, including Google/Gmail accounts. Any attempt to use our service for such purposes is strictly prohibited and may result in immediate account termination.
2. Account Terms
- You must provide accurate, current, and complete registration information at all times
- You are solely responsible for maintaining the confidentiality and security of your account credentials
- You may not share your account credentials with any third party or allow any third party to access your account
- You must be at least 18 years of age or have the legal capacity to enter into binding contracts in your jurisdiction
- You are responsible for all activities that occur under your account, whether or not you authorized such activities
- You must notify us immediately of any unauthorized use of your account or any other breach of security
- We reserve the right to suspend or terminate your account at our discretion without prior notice if we suspect unauthorized access or any violation of these Terms
3. Acceptable Use
Users agree not to:
- Send spam, unsolicited commercial messages, or engage in any form of unsolicited mass communication
- Violate any applicable local, state, national, or international laws, regulations, or industry codes
- Distribute malware, viruses, or any other harmful or malicious code, files, or programs
- Impersonate any person or entity, falsely state or misrepresent your affiliation with any person or entity, or provide false information
- Interfere with or disrupt other users' access to the service or the servers and networks connected to the service
- Use the service to bypass or circumvent email service providers' policies, including Google Gmail API Services User Data Policy
- Use or attempt to use email warming features (which are not provided by our service)
- Scrape, crawl, or otherwise extract data from our service without explicit written permission
- Reverse engineer, decompile, or attempt to obtain the source code of our service
- Use the service in any manner that could damage, disable, overburden, or impair our systems or networks
- Use automated scripts or bots to access the service except through our published API
- Sell, resell, license, sublicense, distribute, rent, or lease the service to any third party
4. API Compliance
When using our service with Google accounts or other third-party integrations:
- Our service does not offer email warming features for any email providers, including Google/Gmail accounts
- We do not provide or source lead databases for users
- All recipients must have the ability to unsubscribe or opt-out of communications
- Users must ensure all email recipients have provided appropriate consent in accordance with applicable laws (including but not limited to CAN-SPAM, GDPR, CCPA, and other relevant regulations)
- Users must not distribute unsolicited commercial mail through Glideramp services
- Users must comply with all terms and conditions of any third-party services integrated with Glideramp
- We reserve the right to suspend or terminate access to any third-party integration if we determine, in our sole discretion, that such access may violate the third party's terms of service
- We are not responsible for any changes to third-party APIs or services that may affect the functionality of our service
5. Recipient Opt-Out Requirements
For all communications sent through our service:
- Every email must include a clearly visible and functioning unsubscribe link or mechanism
- Unsubscribe requests must be processed promptly and in no case later than 10 business days after receipt
- Users must honor all opt-out requests and maintain appropriate records of such requests
- Recipients must be able to easily opt-out with minimal steps and without being required to pay a fee, provide additional information beyond their email address, or take any other steps other than sending a reply email or visiting a single page on an Internet website
- Our system automatically processes unsubscribe requests to ensure compliance, but users remain ultimately responsible for compliance with all applicable laws
- Users must not send further communications to recipients who have opted out, except for transactional or relationship messages that are legally permitted
- Users must maintain accurate and complete records of all opt-out requests for at least 5 years
6. Payment Terms
- Service is billed through Stripe according to the pricing plan you select
- All fees are non-refundable unless expressly stated otherwise or required by applicable law
- We reserve the right to change pricing with at least 30 days' notice for existing subscribers
- Failed payments may result in immediate service interruption or restriction of features
- You are responsible for all taxes associated with your use of the service, except for taxes based on our net income
- Subscription plans automatically renew unless canceled before the renewal date
- You may cancel your subscription at any time, but no refunds will be issued for partial billing periods
- We may offer promotional rates or trial periods which will convert to regular pricing after the promotional period unless canceled
- Any disputes regarding charges must be raised within 30 days of the charge date
7. Service Modifications
We reserve the right to:
- Modify, suspend, or discontinue any part of the service at any time with or without notice
- Update pricing with at least 30 days' notice for existing subscribers
- Terminate accounts for violations of these Terms, applicable laws, or for any other reason at our sole discretion
- Suspend service temporarily or permanently for abusive behavior, excessive usage, or system maintenance
- Implement usage limits, throttling, or other restrictions to ensure service stability and fair usage
- Add, remove, or modify features or functionality without prior notice
- Change these Terms of Service at any time by posting the revised terms on our website
Your continued use of the service after any modifications to the Terms constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the service and cancel your subscription.
8. Data Usage and Intellectual Property
You retain ownership of your data while granting us license to:
- Store, process, and transmit your data as necessary to provide the service
- Use anonymized and aggregated data for service improvement, analytics, and research purposes
- Share data with authorized integration partners as necessary to provide the requested functionality
- Access your account and data to provide technical support or maintain the service
Intellectual Property:
- All intellectual property rights in the service, including software, design, logos, and content created by us, remain our exclusive property
- We grant you a limited, non-exclusive, non-transferable license to use the service for its intended purpose during the term of your subscription
- You may not copy, modify, distribute, sell, or lease any part of our service or included software
- Any feedback, suggestions, or ideas you provide regarding the service may be used by us without any obligation to compensate you
9. Termination
- You may terminate your account at any time by following the cancellation process in your account settings or by contacting our support team
- We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms
- We may terminate accounts for violations of email service providers' policies, including Google Gmail API policies
- Upon termination, your right to use the service will immediately cease
- Upon termination, your data will be deleted from our active systems within 30 days, though some information may remain in our backups for up to 90 days
- All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability
- We are not liable to you or any third party for the termination of your account or access to the service
10. Liability and Indemnification
Limitation of Liability:
- The service is provided "as is" and "as available" without warranties of any kind, either express or implied
- We do not warrant that the service will be uninterrupted, timely, secure, or error-free
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
- Our total liability for any claims arising under these Terms shall not exceed the amount paid by you to us for the service during the 12 months preceding the claim
- Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you
Indemnification:
- You agree to indemnify, defend, and hold harmless Glideramp, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use of the service
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Your content or data uploaded to or transmitted through the service
- Any emails or communications sent using our service
11. Dispute Resolution
Any dispute arising from these Terms or your use of the service shall be resolved as follows:
- The parties shall first attempt in good faith to resolve the dispute informally by contacting each other
- If the dispute cannot be resolved informally, the parties agree to binding arbitration in accordance with the rules of the American Arbitration Association
- The arbitration shall take place in San Francisco, California, unless otherwise agreed
- The arbitration shall be conducted by a single arbitrator
- The arbitrator's decision shall be final and binding on both parties
- Each party shall bear its own costs of arbitration
- You agree to resolve any disputes on an individual basis and waive any right to pursue a class action, consolidated action, or representative action
12. Changes to Terms
We may update these Terms from time to time at our sole discretion. We will notify you of any material changes by:
- Posting the updated Terms on our website
- Sending an email to the address associated with your account
- Displaying a notice within the service
Your continued use of the service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new terms, you must stop using the service.
13. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Glideramp regarding the service and supersede all prior agreements and understandings.
- Governing Law: These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions.
- Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
- No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
- Assignment: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
- Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, or strikes.
